WiseGlobe Inc.

1. Introduction and Acceptance

WiseGlobe Inc. (hereinafter referred to as “WiseGlobe,” “we,” “us,” or “our”) provides third-party professional logistics, freight forwarding, and related services (as defined below) to you (“you,” “your,” or “Customer”). All services are provided strictly subject to these Terms and Conditions (the “Agreement”), together with any applicable service-level agreements, pricing schedules, or supplemental agreements incorporated by reference.

By accessing, registering for, clicking acceptance of, or otherwise using WiseGlobe’s services or platform, you confirm that you have read, understood, and agreed to be legally bound by this Agreement.

You represent and warrant that you are at least eighteen (18) years of age. If you enter into this Agreement on behalf of a company, organization, or other legal entity, you represent that you are duly authorized to bind such entity and its affiliates, in which case “you” shall refer to such entity and its affiliates. If you lack such authority or do not agree to these terms, you must not use the services.

2. Amendments to the Agreement

WiseGlobe reserves the right to amend, update, or replace any part of this Agreement at its sole discretion by posting revisions on its official website and/or notifying users via the email address associated with their account. Continued use of the services after such notice constitutes acceptance of the revised terms. 

If you do not agree to any modification, your sole remedy is to discontinue use of the services and provide written notice of termination to wiseglobe.official@gmail.com.

3. Account Registration and Security 

To access the services, you must create a WiseGlobe account and provide complete, accurate, and current registration information (“Registration Information”). You agree to promptly update such information as necessary. 

Account access is limited to authorized users only. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities conducted through your account, whether authorized or unauthorized. WiseGlobe shall not be liable for any loss or damage arising from unauthorized account use. 

If you permit any third party to access your account (“Authorized Users”), you remain fully responsible for all actions taken by such users.

4. Scope of Services 

The “Services” include, without limitation: 

a) Receipt, inspection, counting, warehousing, consolidation, packaging, handling, and transportation of physical goods tendered by you pursuant to shipment orders (“Orders”); 

b) Access to WiseGlobe’s proprietary logistics platform and related technologies (provided in object-code form only), enabling order submission, shipment coordination, and logistics management (the “WiseGlobe Platform”); 

c) All related data, reports, documentation, pricing matrices, and informational materials provided in connection with the services (collectively, “Content”).

WiseGlobe may enter into separate warehousing, transportation, bulk shipment, or service level agreements (“SLAs”). In the event of conflict, the applicable SLA shall prevail. All such agreements are incorporated by reference.

WiseGlobe retains sole discretion to offer or decline additional services, including peak-season or bulk upload services, subject to separate supplemental terms.

5. Use of Services and Customer Obligations 

You may use the services solely for lawful purposes and in compliance with all applicable laws, regulations, and industry standards, including but not limited to export control, customs, sanctions, and trade compliance laws of the People’s Republic of China, transit countries, and destination countries.

You shall not:

Sell, sublicense, lease, transfer, assign, or commercially exploit the services or platform without written consent;

Use the services in violation of any applicable law, including customs, data protection, or export control laws;

Interfere with, disrupt, reverse engineer, modify, or attempt unauthorized access to the platform or related systems.

You shall comply with all operational guidelines, policies, and notices issued by WiseGlobe and promptly report any security vulnerabilities.

6. Platform and Intellectual Property

All rights, title, and interest in the services, platform, and related intellectual property remain exclusively with WiseGlobe. No rights are granted except as expressly set forth herein.

The WiseGlobe Platform currently functions solely as a professional logistics coordination tool. Any use beyond authorized functionality is at your own risk, and WiseGlobe bears no liability for consequences arising therefrom.

6. Platform and Intellectual Property

All rights, title, and interest in the services, platform, and related intellectual property remain exclusively with WiseGlobe. No rights are granted except as expressly set forth herein.

The WiseGlobe Platform currently functions solely as a professional logistics coordination tool. Any use beyond authorized functionality is at your own risk, and WiseGlobe bears no liability for consequences arising therefrom.

7. Customer Content and Data

You retain ownership of all data, documentation, shipment instructions, commercial invoices, packing lists, and other materials provided by you (“Your Content”).

You grant WiseGlobe a non-exclusive, worldwide, royalty-free license to use Your Content solely as necessary to perform services, comply with legal obligations, conduct internal operations, and generate aggregated or anonymized analytics.

You represent and warrant that Your Content is accurate, lawful, complete, and does not infringe third-party rights. You agree to indemnify WiseGlobe against all claims arising from Your Content.

You acknowledge that data transmission may occur over unencrypted networks and accept responsibility for maintaining backups and data security.

8. Goods Compliance and Shipping Obligations

You represent and warrant that:

a) You are the lawful owner or authorized controller of the goods;

b) Goods comply with all applicable laws and regulations of origin, transit, and destination countries;

c) Goods are not prohibited, restricted, hazardous, or undeclared dangerous goods unless expressly accepted in writing by WiseGlobe;

d) All documentation, labeling, declarations, values, and descriptions are true, accurate, and complete.

WiseGlobe reserves the right to refuse, delay, return, destroy, or otherwise dispose of non-compliant goods at your cost and risk.

WiseGlobe is not the importer of record, exporter of record, or consignee unless expressly agreed in writing.

9. Receiving, Storage, and Handling

All inbound shipments must be properly labeled and accompanied by accurate documentation submitted electronically prior to arrival.

WiseGlobe may verify quantity and visible condition but does not inspect contents or quality unless separately agreed. Discrepancies, mislabeling, or non-compliance may result in delays, additional handling fees, or disposal.

Goods must be received and processed before shipment. WiseGlobe shall not be liable for delays caused by inaccurate instructions or documentation.

10. Delays, Non-Delivery, and Third Parties

Unless expressly stated in an SLA, WiseGlobe does not guarantee transit times and shall not be liable for delays or non-delivery caused by carriers, customs authorities, ports, airlines, weather, or other third parties.

11. Force Majeure

WiseGlobe shall not be liable for failure or delay in performance due to events beyond its reasonable control, including but not limited to natural disasters, labor disputes, governmental actions, war, terrorism, pandemics, carrier failures, or infrastructure disruptions.

12. Fees and Payment

All service fees are exclusive of taxes, duties, customs charges, and third-party costs unless otherwise stated. You are responsible for timely payment of all undisputed invoices.

WiseGlobe may suspend services for overdue accounts.

13. Termination

You may terminate this Agreement upon written notice, provided all outstanding amounts are paid.

WiseGlobe may terminate immediately for fraud, regulatory violations, hazardous goods, or material breach, or upon thirty (30) days’ written notice without cause.

Termination does not relieve payment obligations or accrued liabilities.

14. Disclaimers

Services are provided “as is” and “as available.” WiseGlobe disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

15. Limitation of Liability

To the maximum extent permitted by law, WiseGlobe shall not be liable for indirect, incidental, consequential, punitive, or special damages, including loss of profit, business, or data.

WiseGlobe’s total liability, if any, shall not exceed the lesser of:

a) the actual value of the affected goods;

b) or the fees paid for the specific service giving rise to the claim.

WiseGlobe is not liable for temperature or humidity-related deterioration unless expressly agreed in writing.

16. Assignment

You may not assign this Agreement without WiseGlobe’s prior written consent. WiseGlobe may assign freely.

17. Governing Law and Miscellaneous

This Agreement constitutes the entire agreement between the parties and supersedes all prior understandings.

If any provision is held unenforceable, the remainder shall remain in full force.

This Agreement does not create any partnership, agency, or employment relationship.

Electronic acceptance shall be legally binding.

WiseGlobe Inc. (hereinafter referred to as “WiseGlobe,” “we,” “us,” or “our”) provides third-party logistics, freight forwarding, warehousing, transportation coordination, and related services to you (“you,” “your,” or “Customer”), subject exclusively to these Terms and Conditions (the “Agreement”).

By accessing, registering for, accepting, or using WiseGlobe’s services or platform, you confirm that you have read, understood, and agreed to be legally bound by this Agreement and any documents incorporated by reference.

You represent that you are at least eighteen (18) years of age. If acting on behalf of a company or other legal entity, you represent that you are duly authorized to bind such entity, in which case “you” includes that entity and its affiliates. If you do not agree, you must not use the services.

2. Amendments to the Agreement

WiseGlobe reserves the right to amend or replace this Agreement at its discretion by posting updates on its official website and/or notifying you via the email address associated with your account.

Continued use of the services following such notice constitutes acceptance of the revised terms. If you do not agree, your sole remedy is to discontinue use of the services and notify WiseGlobe in writing at wiseglobe.official@gmail.com.

To access the services, you must create a WiseGlobe account and provide accurate, complete, and current registration information.

You are solely responsible for safeguarding account credentials and for all activities conducted under your account. WiseGlobe shall not be liable for unauthorized use. If you permit third-party access, you remain fully responsible for all actions taken through your account.

4. Definitions and Scope of Services

The “Services” include, without limitation:

a) Receipt, inspection, counting, storage, consolidation, packaging, handling, and transportation coordination of goods tendered by you (“Goods”);

b) Access to WiseGlobe’s proprietary logistics platform and related technologies (the “WiseGlobe Platform”);

c) All related reports, pricing matrices, operational data, and informational materials (“Content”).

WiseGlobe may enter into separate service-level agreements (“SLAs”), bulk shipment agreements, or special addenda. In case of conflict, such agreements shall prevail.

5. Nature of Relationship

WiseGlobe acts solely as a third-party logistics service provider and freight forwarding coordinator. Nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship.

WiseGlobe does not take title to, insure, purchase, sell, or assume commercial risk in the Goods unless expressly agreed in writing.

6. Use of Services and Customer Obligations

You may use the services solely for lawful purposes and in compliance with all applicable laws, regulations, and industry standards.

You shall not:

Sublicense, resell, lease, or commercially exploit the services without consent;

Use the services in violation of customs, export control, sanctions, or data laws;

Interfere with or attempt unauthorized access to WiseGlobe systems.

You must comply with all WiseGlobe policies and operational guidelines.

7. Platform and Intellectual Property

All rights, title, and interest in the WiseGlobe Platform and related intellectual property remain exclusively with WiseGlobe.

The platform is provided solely for logistics coordination. Any unauthorized or unsupported use is at your own risk.

8. Customer Content and Data

You retain ownership of all shipment data, documents, instructions, and materials you provide (“Your Content”).

You grant WiseGlobe a non-exclusive, worldwide, royalty-free license to use Your Content solely to perform services, meet legal obligations, conduct internal operations, and generate aggregated or anonymized analytics.

You warrant that Your Content is accurate, lawful, and non-infringing, and you agree to indemnify WiseGlobe for all claims arising therefrom.

9. Data Transmission and Security

You acknowledge that service operation may involve data transmission over networks that may not be encrypted. You are responsible for maintaining backups and data security.

WiseGlobe shall not be liable for data loss, corruption, or unauthorized access beyond its reasonable control.

10. Goods Compliance and Customer Warranties 

You represent and warrant that:

a) You are the lawful owner or authorized controller of the Goods;

b) Goods are legal, non-hazardous, and compliant with all applicable laws;

c) Goods are properly declared, labeled, packaged, and documented;

d) Goods are not prohibited, restricted, or undeclared dangerous goods unless expressly accepted in writing.

WiseGlobe may refuse, delay, return, destroy, or dispose of non-compliant Goods at your cost and risk.

11. Customs Clearance and Regulatory Compliance

You are solely responsible for the accuracy and legality of all customs declarations, including HS codes, values, origin, and licensing.

WiseGlobe is not the Importer of Record, Exporter of Record, or Declarant unless expressly agreed in writing. All penalties, fines, seizures, or delays arising from non-compliance shall be borne by you.

12. Incoterms® 2020

All shipments are governed by Incoterms® 2020 unless otherwise agreed in writing.

The selected Incoterm determines cost, risk, and clearance responsibilities. WiseGlobe does not assume buyer or seller obligations under any Incoterm.

13. DDP (Delivered Duty Paid) Shipments

DDP services are provided only by written agreement and subject to destination-country feasibility.

You authorize WiseGlobe to advance duties and taxes where applicable and agree to reimburse all such amounts plus service fees. WiseGlobe is not liable for regulatory changes, reassessments, or consignee refusal.

14. Cross-Border E-Commerce and B2C Fulfillment

For B2C shipments, WiseGlobe may coordinate line-haul, customs clearance, and last-mile delivery through third-party carriers.

Delivery success is not guaranteed. Failed deliveries due to incorrect information, refusal, or regulatory issues are at your risk and expense.

15. Receiving, Storage, and Handling

Inbound Goods must be properly labeled and accompanied by accurate documentation submitted prior to arrival.

16. Access to Facilities and Goods

You may not access WiseGlobe facilities or Goods without prior written authorization. Goods may be commingled with those of other customers. Any permitted access may be monitored and revoked at WiseGlobe’s discretion.

17. Third-Party Carriers and Subcontractors

WiseGlobe may subcontract services to carriers, customs brokers, and last-mile providers acting as independent contractors.

WiseGlobe is not liable for their acts or omissions beyond applicable legal limitations.

18. Delays, Non-Delivery, and Transit Risks

Transit times are estimates only. WiseGlobe is not liable for delays, non-delivery, or disruptions caused by carriers, customs authorities, ports, weather, or other third parties unless expressly stated in an SLA.

19. Cargo Insurance

WiseGlobe does not provide cargo insurance unless expressly agreed in writing.

If requested, WiseGlobe may assist in procuring insurance as an agent only. Coverage is subject to insurer terms, exclusions, and claims procedures. WiseGlobe is not an insurer.

20. Fees, Taxes, and Payment

All fees exclude duties, taxes, and third-party charges unless stated otherwise. You are responsible for timely payment of all undisputed invoices.

WiseGlobe may suspend services for overdue accounts.

21. Force Majeure

WiseGlobe is not liable for failure or delay caused by events beyond its reasonable control, including natural disasters, labor disputes, governmental actions, war, terrorism, pandemics, or carrier failures.

23. Limitation of Liability

24. Termination, Assignment, and Miscellaneous

Either party may terminate this Agreement as provided herein. Outstanding obligations survive termination.

You may not assign this Agreement without WiseGlobe’s consent. WiseGlobe may assign freely. 

This Agreement constitutes the entire agreement and supersedes all prior understandings. Electronic acceptance is legally binding.
